1. Acceptance of Terms:

By accessing or using any services provided by Metro Detroit Digital (“MDD,” “we,” “us,” or “our”), including but not limited to website development, digital marketing, content creation, and related services, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you must not use our services.  

2. Services:

MDD provides a range of digital services, including but not limited to:

  • Website design and development
  • Search engine optimization (SEO)
  • Social media marketing
  • Content creation (text, images, video)  
  • Pay-per-click (PPC) advertising
  • Email marketing
  • Digital strategy consulting
  • Website maintenance and hosting (if applicable)

The specific services provided to each Client will be outlined in a separate project proposal or service agreement.

3. Client Responsibilities:

  • Information Accuracy: You are responsible for providing accurate and complete information necessary for MDD to perform the services.
  • Content Ownership: You are responsible for ensuring that all content you provide to MDD is owned by you or that you have the necessary rights to use it.
  • Prompt Communication: You agree to maintain timely and effective communication with MDD throughout the project.
  • Payment: You agree to pay all fees and charges as outlined in the project proposal or service agreement.
  • Approvals: You agree to provide timely approvals for designs, content, and other deliverables as requested by MDD.

4. Payment and Fees:

  • Fees for services will be outlined in the project proposal or service agreement.
  • Payment terms, including payment schedules and accepted payment methods, will be specified in the project proposal or service agreement.
  • Late payments may be subject to interest or other penalties as specified in the project proposal or service agreement.
  • MDD reserves the right to suspend or terminate services for non-payment.

5. Intellectual Property:

  • Client Content: You retain ownership of all content you provide to MDD.
  • MDD Created Content: Upon full payment, MDD grants you a non-exclusive, perpetual license to use the final deliverables created by MDD, as specified in the project proposal or service agreement. MDD retains ownership of any proprietary tools, templates, or methodologies used in providing the services.
  • Portfolio Usage: MDD reserves the right to display completed projects in its portfolio for promotional purposes, unless otherwise agreed upon in writing.

6. Confidentiality:

  • Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project.  
  • This obligation of confidentiality will survive the termination of this agreement.

7. Limitation of Liability:

  • MDD will not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services.
  • MDD’s total liability for any claim arising from these Terms or the services provided will be limited to the total fees paid by you to MDD.

8. Termination:

  • Either party may terminate the project or service agreement with written notice if the other party breaches these Terms.
  • MDD may terminate the agreement immediately if you fail to make payments as required.
  • Upon termination, you will be responsible for paying for all services rendered up to the date of termination.

9. Warranty Disclaimer:

  • MDD provides services “as is” and makes no warranties, express or implied, regarding the performance or results of the services.
  • MDD does not guarantee specific results from marketing campaigns or SEO efforts.

10. Modifications to Terms:

  • MDD reserves the right to modify these Terms at any time. Any changes will be posted on our website, and your continued use of our services constitutes acceptance of the revised Terms.  

11. Governing Law:

  • These Terms will be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions.  

12. Dispute Resolution:

  • Any disputes arising from these Terms will be resolved through good-faith negotiation. If negotiation fails, the parties agree to seek resolution through mediation or arbitration in accordance with the laws of the State of Michigan.

13. Entire Agreement:

  • These Terms, together with the project proposal or service agreement, constitute the entire agreement between the parties and supersede all prior agreements or understandings.
